Item 8.01. Other Events.

 

As previously announced, on April 26, 2016, First Clover Leaf Financial Corp. (“First Clover Leaf”) entered into an Agreement and Plan of Merger (as amended by the First Amendment to Agreement and Plan of Merger entered into as of June 6, 2016, and as may be further amended, the “Merger Agreement”) with First Mid-Illinois Bancshares, Inc., a Delaware corporation (“First Mid”), pursuant to which, among other things, First Mid agreed to acquire 100% of the issued and outstanding shares of First Clover Leaf pursuant to a business combination whereby First Clover Leaf would merge with and into First Mid, with First Mid as the surviving entity (the “Merger”).

 

On July 15, 2016, First Mid received approval of the Merger from the Board of Governors of the Federal Reserve System. Subject to the satisfaction of customary closing conditions in the Merger Agreement and the approval of the stockholders of both First Mid and First Clover Leaf, the Merger is anticipated to be completed in the second half of 2016.
