Item 5.07 | Submission of Matters to a Vote of Security Holders. |
On May 26, 2016, DCB Financial Corp held its 2016 Annual Meeting of Shareholders (the “Annual Meeting”). A total of 7,356,112 common shares were entitled to vote as of April 1, 2016, the record date for the Annual Meeting. There were 6,067,211 common shares, or 82.5% of the total issued and outstanding common shares, represented in person or by proxy at the Annual Meeting at which the shareholders were asked to vote on the election of three Class II directors and two other proposals. Each of the directors listed below was elected and each of the other two proposals has passed. Set forth below are the matters acted upon by the shareholders at the Annual Meeting, and the final voting results of each such proposal.
Proposal No. 1 — Election of Class II Directors
The shareholders voted to elect three Class II Directors to serve for a term of three years expiring at the Annual Meeting of Shareholders in 2019, or until their successors are duly elected and qualified. The results of the vote were as follows:
