Item 5.02(b) Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On March 31, 2016, Edward Grzedzinski delivered notice of his intent to resign, for personal reasons, as a director of Neenah Paper, Inc. (the “Company”), to be effective as of the Company’s Annual Meeting of Shareholders on May 26, 2016.  Mr. Grzedzinski is a member of the Company’s Compensation Committee.  The Company has commenced a search for a new director to replace Mr. Grzedzinski.
