ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
As previously disclosed on February 17, 2016, DSW Shoe Warehouse, Inc., a wholly owned subsidiary of DSW Inc. (“DSW”), entered into a Stock Purchase Agreement to acquire all of the issued and outstanding capital stock of Ebuys, Inc. On March 4, 2016, DSW completed its acquisition of Ebuys, Inc.
