(b) Jeffrey Smith, PhD, Chief Innovation & Technology Officer, separated from Numerex Corp. (the “Company”) on November 30, 2015. The Company intends to seek to negotiate a separation agreement with Dr. Smith that will include a written release of claims and customary post-employment covenants. Under the terms of his employment, Dr. Smith is not entitled to the payment of severance benefits.
