Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 4, 2015, Steven J. Cohen provided Z Trim Holdings, Inc. (the “Company”) with notice of his resignation from the Company’s Board of Directors (the “Board”), effective immediately. Mr. Cohen’s resignation from the Board was not the result of any dispute or disagreement with the Company. Mr. Cohen has served on the Board since 2006.
