Item 1.01 Entry into a Material Definitive Agreement
On October 30, 2015, Solar3D, Inc. (the “Company”) entered into an amendment (the “Amendment”) to the Agreement and Plan of Merger with Plan B Enterprises, Inc., a California corporation and d/b/a Universal Racking Solutions (“Plan B”), Kirk R. Short and Elite Solar Acquisition Sub., Inc., a wholly owned subsidiary of the Company. The Amendment amends the contemplated closing date to extend to on or before December 1, 2015. The extension will allow for additional time to complete the audit of the financial statements of Plan B.
