Item 8.01 Other Events.

As previously disclosed in a Current Report on Form 8-K filed September 21, 2015 (the “Previous 8-K”), Starwood Waypoint Residential Trust (the “Company”) has entered into a Contribution Agreement (the “Contribution Agreement”) that will result in the internalization of the Company’s management (the “Internalization”) and an Agreement and Plan of Merger (the “Merger Agreement”) that will result in the merger of the Company and Colony American Homes, Inc. (“CAH”) (the “Merger”). The Company intends to make presentations to various parties from time to time in order to discuss the Internalization and the Merger. The slides attached hereto as Exhibit 99.1 may be used in connection with such presentations and are incorporated herein by reference.
