Item 5.02                                           Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 12, 2015, Peter Guber notified the Board of Directors (the “Board”) of Demand Media, Inc. (the “Company”) of his resignation from the Board, effective as of the close of business on August 13, 2015. Mr. Guber had also served as the chairman of the Board’s Nominating and Corporate Governance Committee. Mr. Guber resigned from the Board for personal reasons in conjunction with his resignation from his other public company board, and his resignation from the Company’s Board did not arise as a result of any disagreement with the Company or its independent registered public accounting firm.  The Company has initiated a process to identify a replacement to serve on the Company’s Board to fill the vacancy resulting from Mr. Guber’s resignation.
