On July 9, 2015, Image Sensing Systems, Inc., a Minnesota corporation (the “Company”), issued a press release announcing the sale of the Company’s Automatic Number Plate Recognition business to TagMaster AB, a company organized under Swedish law, for the purchase price of $4.2 million in cash. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
