Item 5.07.  Submission of Matters to a Vote of Security Holders.

Baylake Corp. (the “Company”) held its annual meeting of shareholders on June 1, 2015 (the “Annual Meeting”).  A total of 7,430,225 shares, or 79.43% of eligible voting shares, were represented at the Annual Meeting.  Summarized below are descriptions of matters voted on at the Annual Meeting and the final results of such voting:


Proposal 1: Election of Directors.  The shareholders elected each of the director nominees to serve as directors for a term of three years expiring at the 2018 annual meeting of shareholders and until their successors are elected and qualified.  The result of the vote taken at the Annual Meeting was as follows:
