ITEM 5.07 Submission of Matters to a Vote of Security Holders.

On June 1, 2015, Marketo, Inc. (the “Company”) held its annual meeting of stockholders.  The matters voted upon were: (1) the election of each of Douglas A. Pepper and Wesley R. Wasson as Class II directors to the board of directors of the Company, to serve until the 2018 Annual Meeting of Stockholders; and (2) the ratification of the appointment of KPMG LLP as the Company’s independent registered public accounting firm for the fiscal year ending December 31, 2015.
