Item 5.07 Submission of Matters to a Vote of Security Holders.

On May 5, 2015, Hardinge Inc. (the “Company”) held its 2015 Annual Meeting of Shareholders (the “Annual Meeting”). The total number of shares of the Company’s common stock, par value $0.01 per share, voted in person or by proxy at the Annual Meeting was 11,648,060, representing approximately 90.66% of the 12,847,716 shares outstanding and entitled to vote at the Annual Meeting. The non-advisory matters voted upon at the Annual Meeting were approved with the required votes. The Company’s shareholders also voted on an advisory basis in favor of the Company’s executive compensation policies and practices. The matters that were voted upon at the Annual Meeting, and the number of votes cast for, against or withheld, as well as the number of the abstentions and broker non-votes as to each such matter, where applicable, are set forth below:

Proposal 1 Election of Directors

The Company’s shareholders elected two Class III Directors to each serve for a three-year term expiring at the 2018 Annual Meeting, or when their respective successors have been duly elected and qualified. The voting results were as follows:
