Item 3.02 Unregistered Sales of Equity Securities.

 

Consultant Issuances

 

Between November 28, 2014 and February 2, 2015, OriginOil, Inc. (the “Company”) issued an aggregate of 129,987 shares of its common stock in lieu of cash consideration.

 

The securities above were offered and sold pursuant to an exemption from the registration requirements under Section 4(a)(2) of the Securities Act of 1933, as amended (the “Securities Act”) and Rule 506 of Regulation D promulgated thereunder since, among other things, the transactions did not involve a public offering and the securities were acquired for investment purposes only and not with a view to or for sale in connection with any distribution thereof.

 

Conversion of Notes

 

Between December 23, 2014 and February 2, 2015, a holder of convertible promissory notes converted an aggregate principal and interest amount of $223,958 into an aggregate of 4,962,499 shares of the Company’s common stock.

 

The securities above were offered and sold pursuant to an exemption from the registration requirements under Section 4(a)(2) of the Securities Act since, among other things, the transactions did not involve a public offering.

 

Warrant Exchanges

 

Between January 26, 2015 and February 3, 2015, holders of warrants to purchase 1,659,618 shares of the Company’s common stock exchanged such warrants for 1,659,618 shares of the Company’s common stock for an aggregate purchase price of $82,981.

 

The securities above were offered and sold pursuant to an exemption from the registration requirements under Section 4(a)(2) of the Securities Act and Rule 506 of Regulation D promulgated thereunder since, among other things, the transactions did not involve a public offering and the securities were acquired for investment purposes only and not with a view to or for sale in connection with any distribution thereof.

 

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

  

On February 4, 2015, the Company authorized the grant of 250,000 shares of common stock to each of its independent directors, Anthony Fidaleo and Byron Elton, in lieu of cash compensation for their service as directors to the Company.
