On February 3, 2015, American Tire Distributors, Inc. (the “Issuer”), a subsidiary of American Tire Distributors Holdings, Inc. (“Holdings”), issued a press release announcing that it intends to raise approximately $805 million in gross proceeds through an offering of senior subordinated notes due 2022. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
