(b)                                 Resignation of Certain Officers

Effective January 26, 2015, Michael Kvitko resigned as Executive Vice President and Chief Merchandising Officer of 99 Cents Only Stores LLC (the “Company”) and all positions with its parent, Number Holdings, Inc. (“Parent”) and any of Parent’s subsidiaries.

In connection with Mr. Kvitko’s resignation, Mr. Kvitko will receive benefits commensurate with the benefits payable to him upon a termination without cause under the Severance Agreement, dated as of April 17, 2013, between the Company and Mr. Kvitko.
