Item 8.01.
Other Events.
On January 5, 2015, the Board of Directors (the “Board”) of Cover-All Technologies Inc. (the “Company”) approved compensation for its non-employee directors currently serving on the Acquisition Committee of the Board, which Acquisition Committee was constituted in May 2014. The non-employee directors who are currently serving on the Acquisition Committee are Earl Gallegos and Steven Isaac. The compensation to such directors is in consideration for their services as members of the Acquisition Committee.
Specifically, the Board has approved payments to each such director of $50,000, to be paid during the first half of 2015. These payments are subject to such Committee member’s continued service as a member of such Committee as of the date of the respective payment.
