Explanatory Note:
This amendment is being filed to correct an error in the 8-K Report filed by Bank of Marin Bancorp on November 12, 2014. The first sentence of the first paragraph of Item 5.02(e) of that Report should read:
“On December 19, 2013 and November 10, 2014, respectively, Bank of Marin Bancorp’s wholly owned subsidiary, Bank of Marin, entered into identical change in control agreements ("Agreement") with Elizabeth H. Reizman and Tani Girton.”
