Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b) On September 30, 2014, Marc Holliday resigned effective immediately as a member of the Board of Directors of Gramercy Property Trust Inc. (the “Company”). There was no disagreement between the Company and Mr. Holliday on any matter relating to the Company’s operations, policies or practices. In recognition of his service to the Company, the Company’s board of directors ratably vested 1,125 of the 1,500 shares of the Company’s common stock granted to Mr. Holliday in January 2014.
