Item 5.03 Amendments to Articles of Incorporation or Bylaws; Changes in Fiscal Year.
On September 26, 2014, the Board of Directors of the Kansas City Southern (the “Company”) amended its bylaws to provide that any former Chief Executive Officer of the Company shall not be eligible for election to the Company’s Board of Directors. Any former Chief Executive Officer of the Company who is currently a member of the Board of Directors is allowed to serve the remainder of their term. A copy of the Company’s bylaws, as amended to reflect this change, is attached to this Current Report on Form 8-K as Exhibit 3.1.
