Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Pursuant to a letter dated August 5, 2014 to Lourdes Leon Guerrero, Chair of the Board & President and Chief Executive Officer of BankGuam Holding Company (the “Company”) and received by the Company on August 6, 2014, Dr. Luis G. Camacho, voluntarily resigned from the Company’s Board of Directors effective August 25, 2014. Dr. Camacho’s resignation is not due to any disagreements between the Company or any officer or director of the Company on any of the Company’s operations, policies or practices. Dr. Camacho was a founding member of the Company since 2010. With the resignation, Dr. Camacho also resigned as a member of the Company’s Stock Purchase Plan Committee. Additionally, Dr. Camacho also resigned as a member of the Board of Directors of the Company’s sole subsidiary Bank of Guam. There were also no disagreements between Dr. Camacho and the Bank leading up to the resignation. He served on the Board of Directors of Bank of Guam as a founding Board member since 1972.
