Southern Star Central Corp. to Offer $450 Million of Senior Notes     
Southern Star Central Corp. (the “Company”) announced today that it intends to offer $450 million of senior notes due 2022 in a private offering. The Company plans to use the net proceeds of the offering to repurchase any and all of its outstanding 6.75% senior notes due 2016 (two series) pursuant to two cash tender offers and consent solicitations that commenced today, to repay borrowings under the Company’s current revolving credit facility, to make a distribution to MSIP-SSCC Holdings, LLC and to pay related transaction fees and expenses. The remaining net proceeds will be used for general corporate purposes, which may include, among other things, the repurchase, redemption or other acquisition of any 6.75% senior notes due 2016 not tendered in the tender offers. Additionally, the Company intends to enter into an amendment and restatement of its current revolving credit facility and Southern Star Central Gas Pipeline, Inc., the Company’s subsidiary, intends to enter into an unsecured term loan facility concurrently with the consummation of the notes offering.
The senior notes will be issued in reliance on the exemption from the registration requirements provided by Rule 144A and Regulation S of the Securities Act of 1933, as amended (the “Securities Act”). None of the senior notes have been registered under the Securities Act or the laws of any state of other jurisdiction and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state securities laws.
