Explanatory Note

This Form 8-K/A amends and supplements the Current Report on Form 8-K of Qualstar Corporation filed with the U.S. Securities and Exchange Commission on May 14, 2014 (the “Initial Form 8-K”). The Initial Form 8-K reported under Item 2.02 that the Company had issued a press release regarding its results of operations and financial condition for its 2014 fiscal third quarter ended March 31, 2014, however a complete copy of the press release was not attached to the Initial Form 8-K. A complete copy of the press release is attached to this Form 8-K/A.

Item 2.02. Results of Operations and Financial Condition.

On May 13, 2014, Qualstar Corporation issued a press release regarding its results of operations and financial condition for the 2014 fiscal third quarter ended March 31, 2014.  A copy of the press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.

In accordance with General Instruction B.2 of Form 8-K, the information in this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934 or otherwise subject to the liability of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933.
