Section 1 - Registrant's Business and Operations
Item 1.01 - Entry into a Material Definitive Agreement.
On May 21, 2014, Rainmaker Systems, Inc. (the “Company”) entered into a preliminary agreement (the "Agreement") with Symantec Corporation ("Symantec"). The Agreement permits but does not require a substantial payment at favorable terms with respect to an account payable owing to Symantec, provided that payment is made within a limited time frame. The Company is endeavoring to complete this transaction and realize the potential savings, but has no certainty at this time that it will be able to do so.
