Item 8.01.  Other Events.

On May 19, 2014, Stratex Oil & Gas Holdings, Inc. (“Stratex”) issued a press release providing an update on its operations.  A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
