Item 1.01 Entry into a Material Definitive Agreement.
On April 11, 2014, WellCare Health Plans, Inc. (“WellCare”) received executed Amendment #16 (“Amendment #16”) to Contract No. 0654 (“Contract 0654”) between the Georgia Department of Community Health (“DCH”) and WellCare of Georgia, Inc. (“WCGA”), a wholly-owned subsidiary of WellCare.
Among other things, Amendment #16 adds two additional option years to the term of Contract 0654, potentially extending the termination date of Contract 0654 until June 30, 2016. These option terms, one of which runs from July 1, 2014, through June 30, 2015, and the other of which runs from July 1, 2015, through June 30, 2016, are exercisable solely by DCH. Amendment #16 also replaces Attachment E to Contract 0654, a Business Associate Agreement between DCH and WCGA, with a revised Attachment E.
