Section 5 – Corporate Governance and Management

Item 5.05 Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

(b) On March 25, 2014, the Audit Committee of the Board of Directors of United Community Financial Corp. (“UCFC”) approved a waiver of the conflicts of interest policy contained in UCFC’s Code of Ethics and Business Conduct Guidelines for the purchase by Patrick W. Bevack of his company car. As previously reported on Form 8-K filed on March 21, 2014, Mr. Bevack, the current President and Chief Executive Officer of UCFC and UCFCs wholly-owned subsidiary, The Home Savings and Loan Company of Youngstown, Ohio, will retire following the close of business on March 31, 2014. The purchase price of the company car by Mr. Bevack was $30,000, which the Audit Committee believes is the fair market value of the car.
