Section 5 – Corporate Governance and Management
Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(b) On March 8, 2014, Richard J. Buoncore informed the Board of Directors of United Community Financial Corp. (“UCFC”) that he will be resigning from the UCFC Board of Directors as of March 25, 2014 and, accordingly, he will not stand for re-election to the UCFC Board of Directors at the UCFC 2014 Annual Meeting of Shareholders (“2014 Annual Meeting”). Mr. Buoncore also will be resigning from the Board of Directors of UCFC’s wholly owned subsidiary, The Home Savings and Loan Company of Youngstown, Ohio.
The Board of Directors intends to fill the vacancy created by Mr. Buoncore’s resignation prior to the 2014 Annual Meeting.
