         Mr. Mark J.  Richardson  resigned as a director  of  Solar3D,  Inc.,  a
Delaware  corporation (the  "Company"),  effective on February 19, 2014, and the
Company  accepted  Mr.   Richardson's   resignation.   Mr.  Richardson  resigned
voluntarily for personal reasons.
