| Item 4.01 | Changes in Registrant’s Certifying Accountant. |
On December 27, 2013, Gas Natural Inc. (the “Company”) engaged a new accountant, MaloneBailey LLP (“MaloneBailey”), as its independent principal accountant to audit its financial statements.
During the Company’s two most recent fiscal years, including all subsequent interim periods, the Company did not consult MaloneBailey regarding any of the following matters:
(i) the application of accounting principles to any specific completed or proposed transaction, or the type of audit opinion that might be rendered on the Company’s financial statements, and no written report or oral advice was provided to the Company that MaloneBailey concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue; or
(ii) any matter that was either the subject of a disagreement or a reportable event, as such terms are used in paragraphs (a)(1)(iv) and (v), respectively, of Item 304 of Regulation S-K.

On December 30, 2013, the Company issued a press release announcing the appointment of MaloneBailey as its new independent principal accountant. A copy of the press release is attached as Exhibit 99.1 hereto and incorporated herein by reference.
