Item 3.03 Material Modification to Rights of Securities Holders
On 21 November 2013 All Grade Mining, Inc. upwardly modified its authorized shares by 789,000,000, to 1,001,001,000 authorized shares, to meet its contractual obligations and future capital raising estimated requirements. 1,000,000,000 shares are being allocated for common voting shares, and 1,001,000 shares authorized for preferred classes.
As of 21 November 2013, 1:00 PM EST, AGM has 1,000,000,000 authorized common shares, of which 126,286,743 are outstanding.
