This Form 8-K/A amends and supplements the registrant’s Form 8-K, as filed on August 19, 2013, to include the historical combined financial statements and pro forma financial information required by Items 9.01(a) and (b).

Marriott Raleigh City Center is a 400-room full service hotel located in downtown Raleigh, North Carolina, owned by the registrant and acquired from Noble Raleigh Associates, LLC, an unaffiliated third party. The Marriott Raleigh City Center combined financial statements and independent auditor’s report as of and for the years ended December 31, 2012 and 2011 and unaudited combined financial statements as of and for the six months ended June 30, 2013 and 2012 are attached as Exhibit 99.1 hereto and are incorporated by reference herein.

The pro forma financial information required pursuant to Article 11 of Regulation S-X is attached as Exhibit 99.2 hereto and is incorporated by reference herein.
