Item 3.02 Unregistered Sales of Equity Securities
On September 18, 2013 the Registrant’s Board of Directors agreed to sell six million shares of the Registrant’s common stock to Pu Fachun, the Registrant’s Chief Executive Officer. The shares were sold for a total of three million Renminbi, a price of approximately U.S. $0.0817 per share. The sale was exempt from registration pursuant to Section 4(2) of the Securities Act of 1933, as amended.
