SECTION 2 – FINANCIAL INFORMATION

 

Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant

 

On September 16, 2013, Longview Real Estate, Inc. (the “Company”) sold two promissory notes in the principal amount of $4,100,000 (the “Notes”) to accredited investors pursuant to the terms of Note Purchase Agreements (the “Note Purchase Agreements”). The Notes accrue interest at the rate of 5% per annum and are due and payable twenty four months from the date of issuance, subject to acceleration in the event of default and may be prepaid in whole or in part without penalty or premium.

 

The foregoing is a summary description of the terms and conditions of the sale of the Notes and the Note Purchase Agreements and do not purport to be complete and are qualified in its entirety by reference to the form of Note Purchase Agreement and the form of Note, which are filed as Exhibits 10.1 and 10.2, respectively, to this Current Report on Form 8-K and incorporated by reference herein.
