EXPLANATORY NOTE

 

Gramercy Property Trust Inc. (the “Company”) is filing this Amendment No. 1 on Form 10-Q/A (this “Amendment”) to amend our 10-Q for the period ended June 30, 2013, filed on August 8, 2013 (the “Original Filing”). This amendment is being filed solely to include Exhibit 10.2, which was inadvertently omitted from the Original Filing.

 

This Amendment should be read in conjunction with the Original Filing, which continues to speak as of the date of the Quarterly Report. Other than as set forth above, the Amendment does not modify or update disclosures in the Original Filing. Accordingly, this Amendment does not reflect events occurring after the filing of the Quarterly Report or modify or update any related or other disclosures.
