Item 2.02. Results of Operations and Financial Condition
On July 25, 2013, Digimarc Corporation issued a press release announcing its financial results for the quarter ended June 30, 2013. The full text of the press release is attached hereto as Exhibit 99.1.

On July 25, 2013, Digimarc Corporation issued a press release announcing it had declared a dividend of $0.11 per share of common stock to be paid on August 12, 2013 to its shareholders of record on August 5, 2013. The full text of the press release is attached hereto as Exhibit 99.2.
