Item 5.03 Amendments to the Articles of Incorporation or Bylaws; Change in Fiscal Year.
On May 23, 2013, the Board of Directors of Denny's Corporation (the (“Company”), approved an amendment to Article III, Section 12 of the Company's bylaws to provide for an action to be taken without a meeting of the Board of Directors or any committee thereof by a unanimous consent by electronic transmission.
The amended bylaws are effective as of May 23, 2013. The summary of changes to the bylaws set forth above is qualified in its entirety by reference to the full text of the bylaws, a copy of which is attached to this report as Exhibit 3.1 and incorporated herein by reference.
