ITEM 2.02 | RESULTS OF OPERATIONS AND FINANCIAL CONDITION. |
GMX Resources Inc. (the “Company”) is providing its unaudited financial results for the year ended December 31, 2012 as Exhibit 99.1 to this Form 8-K as relevant financial information being provided to the Bankruptcy Court for the Western District of Oklahoma in connection with the Company’s reorganization under chapter 11 of title 11 of the U.S. Code (In re: GMX Resources Inc., Debtor, Case No.13-11456) and to lenders under its Superpriority Debtor in Possession Credit Agreement, dated as of April 4, 2013 (previously filed with the Company’s Current Report on Form 8-K on April 9, 2013). The unaudited financial statements furnished herewith as Exhibit 99.1 to this Form 8-K are incorporated herein by reference.
The information furnished pursuant to Item 2.02 of this Current Report on Form 8-K and in Exhibit 99.1 shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, is not subject to the liabilities of that section and is not deemed incorporated by reference in any filing of the Company’s under the Securities Act, except as otherwise expressly stated in such filing.
