Item 5.03       Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a)       On March 14, 2013, the Board of Directors of Graybar Electric Company, Inc. (“Graybar” or the “Company”) amended its by-laws to clarify that Senior Vice Presidents may call special meetings of the shareholders or the Board of Directors.
