On March 5, 2013, Nicole Adshead-Bell, a member of Vista Gold Corp.’s (the “Registrant”) board of directors, notified the Registrant that she would not stand for re-election at the 2013 annual meeting of stockholders to be held on April 30, 2013.  Dr. Adshead-Bell has indicated that her decision not to stand for re-election arises from an increase in responsibilities with her employer rather than from any disagreement on any matter relating to the Registrant’s operations, policies, or practices.
