Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 6, 2013, John H. Williams, a member of the Board of Directors of Apco Oil and Gas International, Inc. (“Apco” or the “Company”), informed the Board the he intends to step down as a member of the Board upon the expiration of his term at the Company’s 2013 Annual Meeting of Shareholders. Mr. Williams’s resignation is not due to any disagreement with the Company.
