Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 20, 2013, Ignite Restaurant Group, Inc. (the “Company”) announced that Michael J. Dixon has been promoted to President and Chief Financial Officer of the Company effective February 19, 2013. Mr. Dixon previously served as Senior Vice President and Chief Financial Officer of the Company since January 2, 2013. Mr. Dixon will have responsibility for all aspects of restaurant support services for all brands under the Ignite Restaurant Group banner.
A copy of a press release announcing the promotion of Mr. Dixon is attached hereto as Exhibit 99.1 and incorporated by reference herein.

In connection with the announcement of Mr. Dixon’s promotion, the Company also announced the promotion of certain other senior executives of the Company in the press release attached hereto as Exhibit 99.1 and incorporated by reference herein.
