Item 2.01              Completion of Acquisition or Disposition of Assets.

 

On January 24, 2013, Valley Stream Green Acres LLC, an indirect subsidiary of The Macerich Company (the “Company”), completed its previously announced acquisition of Green Acres Mall from Green Acres Mall, L.L.C., a subsidiary of Vornado Realty Trust. Green Acres Mall is a 1.8 million square foot super regional mall located in Valley Stream, New York.  The total consideration for the acquisition was $500 million.

The required financial statements for Green Acres Mall will be filed by amendment as soon as practicable, but in no event later than 71 calendar days after the date this Current Report on Form 8-K was required to be filed.

The required pro forma financial information related to the acquisition of Green Acres Mall will be filed by amendment as soon as practicable, but in no event later than 71 calendar days after the date this Current Report on Form 8-K was required to be filed.
