ITEM 5.02 - DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On December 19, 2012, Susan V. B. O'Shea notified Suffolk Bancorp (the "Company") and its Board of Directors of her decision to not stand for re-election to the Board of the Company at the 2013 Annual Meeting of Shareholders. Ms. O'Shea is retiring after 12 years of service on the Board of the Company and its wholly owned subsidiary, The Suffolk County National Bank (the “Bank”).  Ms. O’Shea will continue to serve as a director of the Company and the Bank until the Company's 2013 Annual Meeting of Shareholders.
