Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 20, 2012, on the recommendation of the Chairman of the Board of EuroSite Power Inc., or the Registrant, the Board of Directors of the Registrant, or the Board, appointed Mr. Joan Giacinti as a member of the Board.
Mr. Giacinti will receive a fee of $500 per day for his service as a member of the Board. Mr. Giacinti is not expected to serve on any committees of the Board.
