On October 22, 2012, the Compensation and Development Committee (the “Committee”) of the Board of Directors of Thor Industries, Inc. (the “Company”) approved an increase in the annual base salary of Colleen Zuhl, the Company’s Interim Chief Financial Officer, from $168,000 to $175,000 which change is retroactive to October 15, 2012. The Committee also approved an increase in the target amount of Ms. Zuhl’s quarterly discretionary bonus for the Company’s 2013 fiscal year from $16,000 to $66,000. No other changes were made to Ms. Zuhl’s compensation.
