Explanatory Note
On August 3, 2012, WellCare Health Plans, Inc. (the “Company”) filed a Current Report on Form 8-K with the Securities and Exchange Commission (the “Initial 8-K”) to furnish a press release announcing its results of operations for the quarter and six months ended June 30, 2012 (the “Press Release”). This Current Report on Form 8-K/A is being filed to correct certain Medicaid membership numbers reported in the Initial 8-K and Press Release.
