Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 14, 2012, Mark A. Caspers resigned as Executive Vice President and Chief Executive Officer of Tutor Perini Corporation’s (the “Company”) Building Group to form his own business. Mr. Casper’s resignation will become effective on June 29, 2012 and was not as a result of any disagreement with the Company relating to its operations, policies or practices. The Company thanks Mr. Caspers for his 25 years of dedicated service.
