On May 11, 2012, Mr. Edward J. Lipkus announced his intention to resign as Executive Vice President and Chief Financial Officer (“CFO”) of First National Community Bancorp, Inc. (the “Company”).  Mr. Lipkus has agreed to remain in his position while the Company begins a search for a new CFO and completes certain regulatory filings, including the filing of the Company’s Annual Report on Form 10-K for the year ended December 31, 2011.

A copy of the press release announcing Mr. Lipkus’ resignation is furnished, not filed, as Exhibit 99.1 hereto.
