Our director, Mr. Charles C. Baum, has recently informed us that he plans to retire from the Board
of Directors by the end of September of this year. As an accommodation to us, Mr. Baum has agreed to stand for
reelection at our annual meeting in June and intends to serve as a director until we are able to identify a successor.
We will seek to identify a successor to Mr. Baum as soon as possible. Mr. Baum has been a director since 1996 and serves
as Chairman of our Governance Committee and as a member of our Audit and Compensation Committees.
